LA REPUBLICA DEL PERU Firma: ________(firma)_________________ Ana María Sánchez Vargas de Ríos Título: Ministra de Relaciones Exteriores República del Perú AMENDMENT Nº SEVEN, dated September 30, 2015, between the United States of America, acting through the United States Agency for International Development ("USAID"), and the Republic of Peru ("Grantee"): WHEREAS, the Grantee and USAID entered into Assistance Agreement 527-0426 dated September 20, 2012 (the "Agreement"); WHEREAS, the Grantee and USAID amended the Agreement on July 19, 2013 (Amendment Nº One), on September 21, 2013 (Amendment Nº Two), on August 26, 2014 (Amendments Nº Three and Nº Four), on September 30, 2014 (Amendment Nº Five), and on January 21, 2015 (Amendment Nº Six); WHEREAS, USAID agreed to grant to the Grantee, subject to the availability of funds, a total estimated contribution of Three Hundred Fifty-Five Million United States Dollars ($355,000,000) to be provided in increments under the terms of the Agreement, of which Two Hundred Thirty-Eight Million Eight Hundred FortyFour Thousand Two Hundred Five United States Dollars ($238,844,205) have been previously granted; and WHEREAS, the Parties through this Amendment Nº SEVEN desire to amend the Agreement to: (a) Pursuant to ARTICLE 3 Section 3.1(a), increase the amount granted to date by USAID in the amount of Sixty-Four Million Three Hundred Seventeen Thousand Two Hundred Seventy-Two United States Dollars ($64,317,272); (b) Pursuant to ARTICLE 3 Section 3.1(b), increase USAID's total estimated contribution in the amount of Twenty Million United States Dollars ($20,000,000), to be implemented through the South America Regional Program, for activities in Peru and other countries in the region; (c) Adjust the Grantee's contributions pursuant to ARTICLE 3 Section 3.2(b); and (d) Modify the Illustrative Financial Plan attached as Table 1 of the Agreement. It should be noted that the distribution of the Total Estimated USAID Contribution among Development Objectives 2 and 3 under the South America Regional Program has been modified to reflect expected contributions by sector. The Total Estimated USAID Contribution remains unchanged for the Peru Program. The total estimated contribution
is increased by Twenty Million United States Dollars ($20,000,000) for the South America Regional Program and for the Agreement as a whole. THEREFORE, the Parties hereby agree to amend the Agreement as follows: 1. The text of ARTICLE 3, Section 3.1(a) is hereby deleted in its entirety and replaced with the following: (a) The Grant: To help achieve the Goal and Development Objectives set forth in this Agreement, USAID, pursuant to the Foreign Assistance Act of 1961, as amended, hereby grants to the Grantee under the terms of the Agreement the amount of Three Hundred and Three Million One Hundred Sixty-One Thousand Four Hundred Seventy-Seven United States Dollars ($303,161,477) (the "Grant"). 2. The text of ARTICLE 3, Section 3.1(b) is hereby deleted in its entirety and replaced with the following: (b) Total Estimated USAID Contribution. USAID's total estimated contribution to achievement of the Goal and Development Objectives will be Three Hundred Seventy-Five Million United States Dollars ($375,000,000), of which Two Hundred and Seventy Million United States Dollars ($270,000,000) will be implemented exclusively in the Republic of Peru, and One Hundred Five Million United States Dollars ($105,000,000) will be implemented through the South America Regional Program, for activities in Peru and other countries in the region, as described in Table 1 Illustrative Financial Plan in Annex 1. USAID's contribution will be provided in increments, which will be subject to the availability of funds to USAID for this purpose and the mutual agreement of the Parties, at the time of each subsequent increment, to proceed. The Parties agree that each such incremental contribution provided, if any, shall cumulatively increase the total amount of the Grant set forth in Section 3.1 and consequently may increase the Grantee's contributions under Section 3.2. 3. The first sentence in Section 3.2 (b) (Grantee Contributions) is deleted in its entirety and replaced with the following text: "The total Grantee's contribution, based on USAID's contribution in Section 3.1(a), is expected to be at least Seventy-Two Million Six Thousand Nine Hundred Ninety-Five United Stated Dollars ($72,006,995) as reflected in Table 1." 4. The Illustrative Financial Plan contained in Table 1 of the Agreement is hereby deleted in its entirety and replaced with the Illustrative Financial Plan attached to this Amendment as Table 1. Except as expressly amended or modified in this Amendment, all terms and conditions of the original Agreement remain in full force and effect. IN WITNESS WHEREOF, the Republic of Peru and the United States of America, each acting through its respective duly authorized representatives, have caused this Amendment Nº Seven to be signed in their names and delivered as of the day and year first written above.
