77 NORMAS LEGALES Sábado 28 de noviembre de 2020 El Peruano / service support contract to continue to assist Peru in its fi ght against COVID-19. USAID provided an initial in- kind contribution of 250 Zoll ventilators and supplies on June 23, 2020. The equipment, supplies, and service support contract to be donated herein, including the cost, manufacturer’s warranty information, technical speci fi cations, operator’s manual, series speci fi cation, and a service support contract for the total donation of 500 ( fi ve hundred) ventilators, as described in Attachment 1 (referred to herein as the “Equipment, Supplies and Service Support Contract”). This in-kind contribution is supplemental and apart from assistance provided under Assistance Agreement No. 527-0426, as amended and does not count toward the Total Estimated Contribution under Section 3.1(b) of the Assistance Agreement. By accepting the Equipment, Supplies, and Service Support Contract , the GOP agrees to the terms of this donation. The GOP point of contact designated in Attachment 2 (“GOP POC”) must acknowledge receipt of the Equipment, Supplies and Service Support Contract with the Receipt of In-Kind Equipment, Supplies, and Service Support Contract set forth as Attachment 3 of this donation, which must be submitted to the USAID point of contact designated in Attachment 2 (“USAID Equipment POC”). The Equipment, Supplies and Service Support Contract provided hereunder is transferred to the GOP and is to be received by the Ministry of Health “as is” at the Peruvian Air Force Base in Callao or the Jorge Chavez International Airport. USAID is not responsible for, and makes no warranty regarding the serviceability, fi tness, condition, or safety of operation of the Equipment, including its component materials. USAID is not responsible for the costs of any kind, including, without limitation, shipping costs, customs clearances, charges incurred for transportation or otherwise associated with the Equipment and Supplies. Subject to the terms of this donation, title to the materials will transfer to the GOP immediately upon receipt of this in-kind grant and receipt of the Equipment, Supplies, and Service Support Contract. Following transfer of title, the GOP, will assume all responsibilities incident to ownership of the Equipment, Supplies and Service Support Contract, including accountability for the proper use of the Equipment and Supplies in accordance with Attachment 1 and Attachment 4, including but not limited to all risks of loss of, or damage to, the Equipment and Supplies and costs arising from third party claims against the U.S. Government or its personnel related to the use of the Equipment and Supplies. In no event shall USAID or its personnel be responsible to the GOP for any claims, damages, losses, costs, expenses, and liabilities arising out of, relating to, or resulting from the use of the Equipment, Supplies, and Service Support Contract. The GOP shall hold harmless and indemnify USAID and its personnel against any claims, damages, losses, costs, expenses, and liabilities arising out of, relating to, or resulting from the use of the Equipment, Supplies, and Service Support Contract. The GOP agrees that the Equipment, Supplies, and Service Support Contract provided under this in-kind grant will not be made available for the purposes of the military, police, security forces, or prisons, nor will it be provided to support individuals and organizations associated with terrorism. The GOP shall ensure that any sub- recipients of the Equipment, Supplies and Service Support Contract shall comply with the terms of this donation. No materials provided to the GOP under this donation may be sold or exported from Peru. Please accept this donation by signing the original and each copy of this letter, retaining one copy for your records and returning the remaining copies to the designated USAID POC.
