El Plan Financiero Ilustrativo del Convenio contenido en el Cuadro 1 es por la presente anulado en su totalidad y se sustituye por el Plan Financiero Ilustrativo adjunto a esta Enmienda como Cuadro 1. Excepto de lo enmendado o modificado en la presente Enmienda, todos los términos y condiciones del Convenio original permanecen en plena fuerza y vigencia. LA REPÚBLICA DEL PERÚ Firma: _____________________________ Néstor Popolizio Bardales Título: Ministro de Relaciones Exteriores República del Perú AMENDMENT Nº ELEVEN, dated May 9, 2018, between the United States of America, acting through the United States Agency for International Development ("USAID"), and the Republic of Peru ("Grantee"): WHEREAS, the Grantee and USAID entered into Assistance Agreement 527-0426 dated September 20, 2012 (the "Agreement"); WHEREAS, the Grantee and USAID amended the Agreement on July 19, 2013 (Amendment Nº One), on September 21, 2013 (Amendment Nº Two), on August 26, 2014 (Amendments Nº Three and Nº Four), on September 30, 2014 (Amendment Nº Five), on January 21, 2015 (Amendment Nº Six), on September 30, 2015 (Amendment Nº Seven), on September 8, 2016 (Amendment Nº Eight), on March 16, 2017 (Amendment Nº Nine), and on September 29, 2017 (Amendment Nº Ten); WHEREAS, USAID agreed to grant to the Grantee, subject to the availability of funds, a total estimated contribution of Four Hundred Ninety Million United States Dollars ($490,000,000) to be provided in increments under the terms of the Agreement, of which Three Hundred Sixty Million One Hundred SixtySix Thousand Four Hundred Seventy-Seven United States Dollars ($360,166,477) have been previously granted; and WHEREAS, the Parties through this Amendment Nº Eleven desire to amend the Agreement to: (a) Pursuant to ARTICLE 3 Section 3.1(a), increase the amount granted to date by USAID in the amount of Forty-Four Million Fifty Thousand United States Dollars ($44,050,000); b) Adjust the Grantee's contributions pursuant to ARTICLE 3 Section 3.2(b); (c) Modify the Illustrative Financial Plan attached as Table 1 of the Agreement. THEREFORE, the Parties hereby agree to amend the Agreement as follows: 1. The text of ARTICLE 3, Section 3.1(a) is hereby deleted in its entirety and replaced with the following: (a) The Grant: To help achieve the Goal and Development Objectives set forth in this Agreement, USAID, pursuant to the Foreign Assistance Act of 1961, as amended, hereby grants to the Grantee under the terms of the Agreement the amount of Four Hundred Four Million Two Hundred Sixteen Thousand Four Hundred SeventySeven United States Dollars ($404,216,477) (the "Grant"). 2. The first sentence in Section 3.2 (b) (Grantee Contributions) is deleted in its entirety and replaced with the following text: "The total Grantee's contribution, based on USAID's contribution in Section 3.1(a), is expected to be at least Ninety-Six Million Six Hundred Nine Thousand Nine Hundred Ninety Five United States Dollars ($96,609,995) as reflected in Table 1."

ENMIENDA Nº ONCE de fecha 9 de Mayo del 2018, entre los Estados Unidos de América, representado por la Agencia de los Estados Unidos para el Desarrollo Internacional ("USAID"), y la República del Perú ("Donatario"): POR CUANTO, el Donatario y USAID celebraron el Convenio de Donación 527-0426 el 20 de setiembre del 2012 (el "Convenio"); POR CUANTO, el Donatario y USAID enmendaron el Convenio el 19 de Julio del 2013 (Enmienda Nº Uno), el 21 de Setiembre del 2013 (Enmienda Nº Dos), el 26 de Agosto del 2014 (Enmiendas Nº Tres y Nº Cuatro), el 30 de Setiembre del 2014 (Enmienda Nº Cinco), el 21 de Enero del 2015 (Enmienda Nº Seis), el 30 de Setiembre del 2015 (Enmienda Nº Siete), el 8 de Setiembre del 2016 (Enmienda Nº Ocho), el 16 de Marzo del 2017 (Enmienda Nº Nueve), y el 29 de Setiembre del 2017 (enmienda Nº Diez); POR CUANTO, USAID acordó donar al Donatario, sujeto a la disponibilidad de fondos, una contribución total estimada ascendente a Cuatrocientos Noventa Millones de Dólares de los Estados Unidos ($490,000,000) la misma que será proporcionada en incrementos según los términos del Convenio, de los cuales Trescientos Sesenta Millones Ciento Sesenta y Seis Mil Cuatrocientos Setenta y Siete Dólares de los Estados Unidos ($360,166,477) han sido otorgados previamente; y POR CUANTO, las Partes mediante esta Enmienda Nº Once desean modificar el Convenio para: (a) Incrementar el monto otorgado por USAID a la fecha por el monto de Cuarenta y Cuatro Millones Cincuenta Mil Dólares de los Estados Unidos ($44,050,000), de conformidad con el ARTICULO 3, Sección 3.1(a); (b) Ajustar el monto de la contribución del Donatario de conformidad con el ARTÍCULO 3, Sección 3.2(b); (c) Cambiar el Plan Financiero Ilustrativo adjunto como Cuadro 1 del Convenio. POR CONSIGUIENTE, las Partes mediante la presente acuerdan enmendar el Convenio como sigue: 1. El texto del ARTÍCULO 3, Sección 3.1 (a), mediante la presente es anulado en su totalidad y se sustituye con lo siguiente: (a) La Donación: Para ayudar a alcanzar la Finalidad y Objetivos de Desarrollo establecidos en este Convenio, USAID, de conformidad con la Ley de Asistencia al Exterior de 1961 y sus enmiendas, por este medio otorga al Donatario de conformidad con los términos del Convenio hasta un total que no exceda a Cuatrocientos Cuatro Millones Doscientos Dieciséis Mil Cuatrocientos Setenta y Siete Dólares de los Estados Unidos ($404,216,477) (la "Donación"). 2. La primera oración de la Sección 3.2(b) (Contribuciones del Donatario) es anulada en su totalidad y se sustituye con el siguiente texto: "El total de contribuciones esperadas del Donatario, tomando como base la contribución de USAID reflejada en la Sección 3.1(a), no deberá ser menor a Noventa y Seis Millones Seiscientos Nueve Mil Novecientos Noventa y Cinco Dólares de los Estados Unidos ($96,609,995), tal como se muestra en el Cuadro 1".
